By subscribing to the services provided by Online Studio Prime Limited at https://www.cservizionline.com/ or by using any of its services (as defined below), you agree to be bound by the following terms and conditions.
The services consist in the management of social media profiles.
For the purposes of these Terms and Conditions of Service, “we”, “us”, and “our”, as well as Online Studio Prime Limited and https://www.cservizionline.com/ refer to the contracting party Online Studio Prime Limited
The services offered by Online Studio Prime Limited under these Terms and Conditions of Service include various products and services designed to help you increase the visibility of your Instagram profile. The services offered by Online Studio Prime Limited are referred to in these Terms and Conditions of Service as the “Services”. Any new features or tools added to the current Services will also be subject to these Terms and Conditions of Service. You may review the current version of the Terms and Conditions of Service at any time at https://www.cservizionline.com/
Online Studio Prime Limited reserves the right to update and modify the Terms and Conditions of Service by posting updates and changes on the website https://www.cservizionline.com/. We recommend that you periodically check the Terms and Conditions of Service for any updates or changes that may affect you. If you do not agree to such changes, you must stop using the Services.
You are required to read and accept all the terms and conditions contained in or expressly referred to in these Terms and Conditions of Service, including the Privacy Policy of Online Studio Prime Limited , before registering to obtain or use any service of Online Studio Prime Limited

1. CONDITIONS
To access and use the Services, you must provide your Instagram profile details, necessarily including a valid email address and the Instagram username, as well as any other information, such as first and last name, indicated as mandatory. We at Online Studio Prime Limited may refuse your request to activate an account or cancel an existing account for any reason, at our sole discretion.
You confirm that you are receiving the Services provided by Online Studio Prime Limited for lawful purposes and not for the dissemination of pornographic material of any kind or any other content that may offend public decency or violate public order under the Italian criminal law system, and you release Online Studio Prime Limited from any liability in this regard.
You are responsible for keeping your data confidential. Online Studio Prime Limited cannot and will not be held responsible for any loss or damage arising from your failure to maintain the security of your account and password for your profile. Any theft of Instagram profiles will not be the responsibility of Online Studio Prime Limited
You are responsible for all activities and content such as photos, images, videos, graphics, written content, audio files, code, information or data uploaded, collected, generated, stored, displayed, distributed, transmitted or shown on or in connection with your Instagram profile (“Materials”).
Violation of any of the Terms of Service, as determined at the sole discretion of Online Studio Prime Limited , may result in the immediate termination of the Services.

2. ACTIVATION OF THE SERVICE
The person who subscribes to the service will be the contracting party for the purposes of our Terms of Service and the identification details of the Instagram profile entered will identify the Instagram profile on which the service is to be activated. These subjects may or may not coincide. Therefore, the service may be activated both on the Instagram profile of the contracting party and on other profiles not owned by them. Responsibility for this latter possibility lies solely with the contracting party, as Online Studio Prime Limited is in no way involved in and is not required to carry out any investigation activities regarding the correspondence between the contracting party and the Instagram profiles on which the service is requested.
If you subscribe to the services on behalf of third parties, the users of the service will be these third parties. If you subscribe to the services on behalf of third parties, you must use the email address they have provided and you represent and warrant that you have the authority to bind such third parties to our Terms of Service.
The service may be associated with a single user. The contracting party may have multiple Instagram profiles, but a single subscription can be associated with only one Instagram profile. It is possible to activate multiple subscriptions on the same Instagram profile but not a single subscription on multiple Instagram profiles. To activate the service on multiple Instagram profiles, it is necessary to sign up for and purchase multiple subscriptions (at least one per Instagram profile).
Once you have completed the subscription to the service (according to the chosen subscription plan), Online Studio Prime Limited will activate the service in your name, using your email address and the Instagram profile you have provided.

3. GENERAL CONDITIONS
You must read and accept all the terms and conditions contained in these Terms and Conditions of Service, including the Privacy Policy, before you can use the service. Acceptance is deemed to be given at the time of purchase of one of the subscription plans offered by Online Studio Prime Limited
The Terms and Conditions of Service shall be governed by and construed in accordance with Italian law, without regard to conflict of law principles.
You acknowledge and agree that Online Studio Prime Limited may amend these Terms and Conditions of Service at any time by posting the applicable Terms and Conditions of Service including such additions and changes on its website, and that such changes to the Terms and Conditions of Service shall take effect on the date of publication. Your continued use of the Services after the amended Terms and Conditions of Service have been posted on the website constitutes full acceptance of the amended Terms and Conditions of Service. If you do not agree to the changes to the Terms and Conditions of Service, you must not continue to use the Service. It will therefore be your duty to cancel your subscription; Online Studio Prime Limited has no responsibility in this regard.
You may not use the services of Online Studio Prime Limited for any unlawful or unauthorized purpose nor may you, in the use of the service, violate any laws in your jurisdiction (including, but not limited to, copyright laws). You will comply with all applicable laws and regulations in your use of the service and in fulfilling your obligations under these Terms and Conditions of Service.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the service, use of the services, or access to the services.
You acknowledge and agree that your use of the services, including the information transmitted or stored by Online Studio Prime Limited is governed by the applicable Privacy Policy.
All terms and provisions of the Terms and Conditions of Service shall be binding upon and inure to the benefit of the parties to the Terms and Conditions of Service and their respective heirs, successors, permitted assignees and legal representatives.
If any provision (or part of a provision) of these Terms and Conditions of Service is held for any reason to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision (or the unaffected part of the provision) of the Terms and Conditions of Service, and the Terms and Conditions of Service shall be construed as if such invalid, illegal or unenforceable provision (or part thereof) had never existed.

4. DISPUTES
The parties irrevocably and unconditionally agree to the exclusive jurisdiction of the courts of the United Arab Emirates in relation to any dispute or claim arising out of or in connection with these Terms and Conditions of Service and with the service itself.
Any written or verbal abuse (including threats of abuse or retaliation) of any customer, employee, member or representative of Online Studio Prime Limited will result in the immediate termination of the service.
We reserve the right to provide our services to your competitors and do not promise exclusivity for a particular market segment. You acknowledge and agree that employees and contractors of Online Studio Prime Limited may also be customers of Online Studio Prime Limited and in competition with you, provided that in such circumstances they may not use your Confidential Information.
In the event of a dispute regarding the ownership of a subscription, we reserve the right to request documentation to determine or confirm ownership of the subscription, including by requesting supporting documentation such as, by way of example but not limited to, an identity document.

5. CONFIDENTIALITY
“Confidential Information” includes (but is not limited to) all information associated with the business of a party and not known to the public, such as specific business information, technical processes and formulas, software, customer lists and prospect lists, names, addresses and other data relating to customers and prospects. The Confidential Information of ONLINE FLOW CONSULTING LLC includes all data obtained through us or the services that is not known to the general public, such as information related to our services, programs and security procedures.
Each party agrees to use the other party’s Confidential Information solely as necessary to fulfill its obligations under these Terms of Service and in accordance with any other obligations set forth herein, including this section. Each party agrees to take all reasonable steps—at least substantially equivalent to those it takes to protect its own information—to prevent the duplication, disclosure and use of such Confidential Information. To this end, it undertakes to make such Confidential Information accessible only: (i) to its employees, agents and subcontractors who are authorized to access such Confidential Information in order to fulfill the obligations of the party hereunder, binding them to treat such Confidential Information as provided herein and subjecting them to a duty of confidentiality at least as strict as that set out herein; (ii) in accordance with any law, regulation or order of a court of competent jurisdiction over the parties and the subject matter of these Terms of Service, provided that, where permitted by law, the receiving party gives prompt written notice of such disclosure to the party concerned and makes every reasonable commercial effort to ensure that such disclosure is made in confidential form.
Confidential Information shall not include any information that the receiving party can prove: (A) was already in the public domain or already known to or in the possession of the receiving party at the time of disclosure; (B) was independently developed by the receiving party without use of or reference to the other party’s Confidential Information and without violating any provision of these Terms of Service; (C) was lawfully obtained by the receiving party from a source other than the party concerned without violating any provision of these Terms of Service.

6. LIMITATION OF LIABILITY
You expressly acknowledge and agree that, to the fullest extent permitted by applicable law, Online Studio Prime Limited shall not be liable for any damages—direct, indirect, incidental, special, consequential or exemplary, including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses—resulting from the use of or inability to use the service.
To the extent permitted by applicable law, neither Online Studio Prime Limited nor its suppliers shall be liable in any way for any special, incidental or consequential damages arising out of or in connection with our site, our services or these Terms of Service (however arising, including negligence). You agree to indemnify and hold us and (where applicable) our parent, subsidiaries, affiliates, partners, officers, directors, agents, employees and suppliers harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third party.
Use of the services is at your sole risk. The services are provided “as is” and “as available” without any warranties or conditions, express, implied or statutory. You agree to classify the service as an obligation of means and not of result. The result depends on the quality, type and continuity of the publication of content of interest on the Instagram profile on which the service is activated.
Online Studio Prime Limited shall not be liable for failure to achieve any result for any reason whatsoever.
Online Studio Prime Limited shall not ensure and therefore shall not be liable for the maintenance of any results achieved for any reason whatsoever.
The service consists in increasing followers. The maintenance of such followers, where obtained, depends on the quality, type and continuity of the publication of content of interest on the Instagram profile on which the service is activated. Therefore, Online Studio Prime Limited is not responsible for the maintenance of followers obtained.
Online Studio Prime Limited does not warrant that the services will be uninterrupted, timely, secure or error-free.
Online Studio Prime Limited does not warrant that the results that may be obtained from the use of the services will be accurate or reliable.
Online Studio Prime Limited does not warrant that the quality of any product, service, information or other material purchased or obtained by you through the services will meet your expectations or that any errors in the services will be corrected.

7. INTELLECTUAL PROPERTY RIGHTS AND CLIENT CONTENT
We do not claim any intellectual property rights over the content of your Instagram profile or over the followers obtained.

8. PAYMENTS, RENEWALS AND REFUNDS
You will pay the subscription fee for the service by debit/credit card together with any transaction fees applied by the chosen payment provider.
Subscription fees are paid in advance and will be charged at intervals (depending on the chosen subscription package). Fixed per-transaction fees and any additional charges will be billed from time to time by Online Studio Prime Limited at its discretion.
Once any subscription plan has been purchased, you may cancel the service by midnight on the day of purchase. Cancellation must be made by email to the address indicated in the “CONTACTS” section or to the following email address: competenzeartificiali@gmail.com. Cancellation does not entitle you to a refund for the first period purchased according to the package, but only to non-activation for subsequent periods.
By purchasing, you agree to activate automatic payments.
The services provided are those listed and described on the website. The price of the services includes taxes and any ancillary charges, excluding those relating to the payment providers. The price of the ordered service is determined according to the subscription plan to which you subscribe.
The service starts immediately following the user’s subscription and relative payment.
Online Studio Prime Limited provides an intangible and irrevocable digital service for the first period purchased (it is not possible to refund the service purchased in view of the automatic and immediate nature of the service). You may only cancel the service and therefore the subscription from the time of the renewal following the initial purchase of the package. From the moment you make the purchase, no refund is provided for any reason. Only in some cases may the provider issue a refund at its sole discretion.
By purchasing, you agree not to receive any refund. Online Studio Prime Limited does not provide refunds.

9. TECHNICAL ASPECTS
Online Studio Prime Limited is in no way connected with Instagram or other social networks or external programs that may be used; therefore, it is not responsible for actions taken by them or for the results produced by them.
Online Studio Prime Limited is in no way responsible for any damage, problems or inconvenience caused to the person or business for which the service is used.
The provider is in no way responsible for any suspension, deletion or penalization of your account or deletion of images, stories and comments by Instagram, Facebook or other social networks.

10. CANCELLATION AND TERMINATION
You may cancel your subscription and withdraw from these Terms and Conditions of Service at any time by contacting Online Studio Prime Limited support and then following the specific instructions that will be provided to you in response.
In the event of termination of the services by either party for any reason, Online Studio Prime Limited will cease to provide the services to you.
If the service has been activated, cancellation must be communicated by midnight on the day of purchase.
Following cancellation, you will not be entitled to a refund for the activation period (for the first week or first month during which the service is activated, the costs incurred cannot be refunded despite early cancellation). Cancellation will only prevent renewal of the subscription after activation.
You will not be entitled to a refund for the period prior to the first renewal or for subsequent periods if cancellation occurs after such renewals.
The first subscription period may be cancelled but does not entitle you to a refund.
To avoid incurring subscription charges for renewals following activation of the service, cancellation must be communicated by midnight of the day following the renewal, whether it is the first or subsequent renewals, and the effect will be to discontinue the service, but not for the period for which the renewal has already been activated (therefore, payment relating to the renewal that has occurred is non-refundable, but will cease on the date of the next renewal, which will not occur). Once the cost of the service has been incurred, it is non-refundable. Cancellation will only prevent renewal of the subscription and will discontinue the service as from the renewal following the previous one. Thus, if you cancel after a renewal, the effect will be that the subsequent renewal will not take place, while for the period covered by the current renewal the service will remain active and non-refundable.
Any balance due to Online Studio Prime Limited for use of the services on the effective date of termination shall become immediately due and payable in full and will be collected automatically.
We reserve the right to modify or discontinue the service and the Terms and Conditions of Service without notice and at any time. Termination of the Terms and Conditions of Service shall not prejudice any rights or obligations accrued prior to the date of termination.
Without prejudice to any other legal remedies, we at Online Studio Prime Limited may suspend or terminate the service if we suspect (on the basis of conviction, liquidation, insurance or asset investigation or otherwise) that you are involved in fraudulent activities related to the use of the service.

11. CHANGES TO THE SERVICE AND PRICES
Prices for the use of the services are subject to change without notice by Online Studio Prime Limited . Changes will be visible at any time through publication on the Online Studio Prime Limited website.
Online Studio Prime Limited reserves the right to modify or discontinue the services (or any part thereof) at any time with or without notice.
Online Studio Prime Limited shall not be liable to you or any third party for any modification, price change, suspension or discontinuance of the service.
